Welcome to TokiAI Router! These Terms constitute an agreement between you and the Platform regarding the use of Platform services. To protect your rights, please read these Terms carefully before using the services. When you register an account or use any service provided by the Platform, you signify that you have read and agree to be bound by all the provisions of these Terms. If you do not agree to these Terms, please do not register or use the Platform services. The Platform is committed to providing you with secure, stable, and efficient AI technology services, and also requires you to comply with relevant rules to jointly maintain a good service environment.

I. Agreement Description

1.1 Scope of Agreement

These Terms include the main body of this agreement, the Privacy Policy, the Token Billing Rules, and other rules, announcements, guidelines, etc., issued by the Platform from time to time, which together constitute the complete agreement between you and the Platform. In the event of any conflict between different parts, the latest issued or specially agreed part shall prevail. The Platform has the right to modify these Terms in response to changes in laws and regulations or business developments. The modified version will be announced on the Platform's official website or application. The announcement period shall be no less than seven days, and for material changes, the announcement period shall be fifteen days. After the announcement period expires, the modified content automatically becomes effective. If you do not agree to the modified content, you may stop using the services and delete your account before the modification takes effect; if you continue to use the services, you will be deemed to have accepted the modified Terms. You are advised to periodically review the Terms for updates.

1.2 Terminology Explanation

To facilitate understanding, some terms in these Terms are explained as follows:

"Token" is the unified unit used by the Platform to measure consumption of AI services, including the equivalent measurement of text, images, audio, video, and other content. The conversion ratios for different types of content are subject to the public display on the Platform’s pages.

"Services" refer to the AI model inference, training and deployment, knowledge base retrieval, API calls, dataset management, developer tools, community communication, and other technical services and related support services provided by the Platform to you.

"User Data" refers to data, models, code, files, prompts, conversation records, and other content that you upload, generate, or store during your use of the Services.

"API" refers to the program interface provided by the Platform to facilitate integration of Platform capabilities into your own applications.

"Force Majeure" refers to objective circumstances that cannot be foreseen, avoided, or overcome, such as natural disasters, war, government actions, large-scale cyberattacks, power outages, etc.

II. Service Content

2.1 Description of Services

The Platform provides you with the following core services:

(1) AI Inference and Generation: including text conversation, code generation, text summarization, translation, multimodal image and text understanding, etc.

(2) Model Training and Fine‑tuning: supports custom training of models using your data to improve model performance in specific scenarios.

(3) Inference Deployment: supports deploying models as online services, providing stable API call capabilities with automatic scaling.

(4) Knowledge Base and Retrieval: provides vector database and semantic retrieval capabilities to help you build question‑answering systems based on private knowledge.

(5) Developer Tools: including code hosting, image management, model version management, CI/CD pipelines, etc.

(6) Compute Scheduling: provides elastic GPU/CPU compute resources, allocated on demand and billed by usage.

(7) API and SDK: provides standardized RESTful APIs and SDKs for multiple programming languages to facilitate rapid integration.

(8) Community Support: provides technical documentation, developer forums, online training, model marketplace, and other communication and learning resources.

The specific service content is subject to the functions actually provided by the Platform. The Platform may adjust its services based on technological developments and market demands.

2.2 Billing Method

The Platform adopts a unified Token‑based billing model, which is simple and transparent:

(1) Input and output are measured separately: the content you send to the model (input) and the content returned by the model (output) are each counted for Token consumption, with different unit prices.

(2) Unified conversion of multimodal content: non‑text content such as images, audio, and video is uniformly converted into Tokens according to conversion ratios published by the Platform. For example, a standard‑sized image may be converted into several hundred to one thousand Tokens, subject to the details on each model’s page.

(3) Compute and storage conversion: GPU/CPU resources consumed by model training, fine‑tuning, and other tasks, as well as data storage and network traffic, are also converted into Token deductions.

(4) Real‑time deduction: after each service call is completed, the system automatically calculates the Token consumption and deducts it from your balance. Deductions are irreversible and non‑refundable, except where measurement errors occur due to Platform system faults.

(5) Price disclosure: unit prices for various Tokens are subject to real‑time display on the Platform's pages. The Platform may adjust prices based on cost changes; adjustments will be announced in advance, giving you reasonable time to make decisions.

2.3 Service Availability

The Platform strives to ensure stable and reliable services. For paid services, the Platform will publish service level objectives (e.g., 99.9% availability). If the actual availability fails to meet the committed standard, you may apply for compensation under the compensation rules published by the Platform, usually in the form of free Tokens or extended service duration.

Please note that free trial services and test features do not come with any availability commitment; they may be adjusted, interrupted, or discontinued at any time, possibly without prior notice. Furthermore, short‑term service interruptions caused by network failures, third‑party service provider issues, system maintenance and upgrades, force majeure, or other reasons will be repaired as soon as possible by the Platform, but the Platform shall not be liable for breach of contract.

III. Account Management

3.1 Registration Requirements

To use Platform services, you need to register an account. When registering, you must provide true and accurate personal information, including a mobile phone number and an email address, for identity verification and receipt of notifications. Users must be at least eighteen years old and have full civil capacity. If you are under eighteen, you may only use the services with the full knowledge and consent of your guardian, and the guardian shall be responsible for the minor’s use.

To use paid features (e.g., Token recharge, API calls, model deployment), you need to complete real‑name authentication. Individual users must provide ID document information; corporate users must provide business licenses and legal person information. Once real‑name authentication information is submitted, it generally cannot be modified arbitrarily; if changes are needed, please contact customer service. The Platform engages third‑party agencies to perform identity verification, and you authorize the Platform to provide necessary information to such agencies to complete the authentication.

3.2 Account Security

You are responsible for the security of your own account. Please take the following measures to protect your account: use a strong password (recommended to include letters, numbers, and special characters, with a minimum length of eight characters) and change it regularly; do not share your account password with others or use your account jointly with others; do not log in for important operations on public computers or public WiFi; it is recommended to enable two‑factor authentication (2FA) for added security; properly safeguard credentials such as API Keys and do not embed them in public code or share them with others.

If your account or API Key is compromised due to inadequate protection, resulting in Token theft, data tampering, or other losses, you shall bear the liability. The Platform has implemented security measures such as encrypted transmission, encrypted data storage, and access controls to protect its systems, but shall not be liable for losses caused by user‑side security issues. If you notice any abnormal activity on your account, immediately change your password, revoke the API Key, and contact customer service.

3.3 Handling of Abnormal Situations

The Platform uses technical means to monitor account security. For accounts exhibiting the following abnormal conditions, the Platform has the right to take measures such as restricting functionality, freezing, or deletion:

(1) Abnormal login: e.g., multiple password errors in a short period, logins from unusual locations, frequent IP switching using proxies;

(2) Batch registration: registering multiple accounts using the same information, using virtual numbers to register, using scripts for automated registration;

(3) Malicious operations: high‑frequency Token farming, exploiting vulnerabilities for improper gains, attempting to breach system security, injecting malicious prompts for attacks;

(4) Improper profit‑making: using free accounts or trial Tokens for commercial profit, reselling API quotas, publishing illegal or harmful content for profit;

(5) Long‑term inactivity: no login and no usage record for 180 consecutive days.

Before taking action, the Platform will attempt to notify you via email or SMS. If you disagree with the handling result, you may contact customer service to lodge an appeal within fifteen days after receiving the notice. The Platform will review and respond within fifteen working days. In emergency situations (e.g., an ongoing attack), the Platform may take immediate action to protect overall security.

IV. Token and Payment

4.1 Token Recharge

Tokens may only be recharged through official Platform channels, including the official website payment page, in‑app payment within the official application, and official authorized corporate bank transfers. Do not purchase Tokens through unofficial channels; otherwise, you may suffer financial losses, and the Platform has the right to zero out Tokens obtained through unofficial channels. The exchange rate is subject to real‑time display on the pages; generally, larger recharge amounts receive greater discounts. Online payments (WeChat Pay, Alipay, UnionPay) are typically credited in real time; bank transfers may take one to three business days. Tokens obtained through recharge have no expiration date during the normal existence of your account and can be held long‑term. Tokens are non‑transferable to other accounts and cannot be withdrawn or exchanged for cash.

Only in very exceptional circumstances may the Platform consider a refund: for example, if a major Platform system fault causes a recharge to fail to credit and cannot be remedied, or if the Platform discontinues all services and cannot provide an alternative. Eligible refund requests must be submitted within thirty days after the incident. The Platform will review the request within fifteen working days, and refunds will be credited back to the original payment account; cash equivalent for any bonus portion will not be refunded.

4.2 Handling of Insufficient Balance

When your Token balance is insufficient to cover the next service call, or when you have a negative balance, the Platform will immediately stop your running tasks, suspend API calls, and lock your resources (e.g., deployed models, stored data). At that point, you cannot perform new operations until you recharge and restore a positive balance.

If the negative balance persists for more than thirty days without recharge, the Platform has the right to release your data and resources to recover system capacity. After release, data is permanently deleted and cannot be recovered. You shall bear sole responsibility for service interruptions, task failures, and data loss caused by insufficient balance. Once the recharge is credited, the Platform will usually restore service within five minutes.

V. User Data

5.1 Ownership of Data

The intellectual property rights in the data, models, code, files, prompts, and other content you upload to the Platform belong to you. You must ensure that you have lawful rights or have obtained authorization to upload such content to the Platform for processing. Your uploaded content must not contain illegal information, malicious code, or viruses, nor infringe upon the intellectual property rights, privacy rights, or other lawful rights of others, nor be used for illegal activities such as fraud, gambling, money laundering, etc.

If your uploaded content causes the Platform to be complained against, claimed against, or subjected to administrative penalties by third parties, you shall bear full responsibility, including compensating the Platform for reasonable expenses incurred thereby, such as compensation payments, legal fees, investigation costs, etc.

5.2 License Grant to the Platform

To enable the Platform to provide services properly, you grant the Platform a license to use your data within the following scopes:

(1) Storage and processing: the Platform needs to store your data on its servers and perform necessary format conversion, indexing, compression, and backup to ensure the normal operation of services.

(2) Model optimization: the Platform may use your data to improve the capabilities and safety of its AI models. The Platform undertakes to de‑identify and anonymize data when used for model training, reducing the possibility of direct association with you.

(3) Security review: the Platform needs to review content to prevent the spread of illegal or inappropriate information and to protect the safety of the Platform and other users.

(4) Technical support: when issues arise, Platform technical personnel may need to access your data to diagnose and resolve problems; all access activities will be logged.

The above license begins when you upload data and ends when the data is deleted or your account is closed. However, data that has already been used for model training and incorporated into model parameters may technically be inseparable and cannot be individually deleted.

5.3 Data Deletion

The Platform may delete your data under the following circumstances:

(1) Your account has been in arrears for more than thirty days and you have not recharged after receiving a reminder;

(2) You are found to have engaged in malicious activities, such as using Platform compute resources for mining, attacking the system, batch registration, generating or disseminating illegal or inappropriate content;

(3) You have not logged in for 180 consecutive days and have no usage records; the Platform will send a reminder notice before deletion;

(4) You proactively request deletion;

(5) Deletion is required by laws or regulations;

(6) The Platform terminates services and you fail to migrate your data within the specified period.

Once your data is deleted by the Platform, it is permanently unrecoverable. The Platform does not provide data recovery services and assumes no responsibility for data loss caused by deletion. You must regularly back up important data to local or other storage devices.

5.4 Data Backup

Protecting your data security is the Platform’s responsibility, but data backup is your own obligation. The Platform only implements basic redundancy configurations at the system level to ensure overall service stability and does not provide default data backup and recovery services for individual users.

We recommend that you develop a habit of regular backups: download and save important datasets, trained models, configuration files, etc., to your local computer or other cloud storage; manually back up before performing major operations (e.g., large‑scale training, data cleansing); regularly check the integrity of your backup data. If data loss occurs because you did not back up, the Platform cannot be held responsible.

VI. Usage Guidelines

6.1 Lawful Use

You undertake to comply with national laws and regulations and must not use the Platform services to generate, disseminate, or store content that: opposes the basic principles of the Constitution; endangers national security, leaks state secrets, or undermines national unity; harms national honor and interests or incites ethnic hatred or discrimination; promotes cults or feudal superstition; spreads rumors or disrupts social order; contains obscenity, pornography, gambling, violence, terror, or incitement to crime; insults or defames others, infringes upon others’ privacy, portrait rights, reputation, or intellectual property; contains false or fraudulent information or is used for online fraud; contains viruses or malicious code.

Special note: content generated by AI models is based on probabilistic prediction and may contain factual errors, biases, or outdated information; it is for your reference only. For important decisions involving medical diagnosis, legal advice, financial investment, personal safety, etc., you must verify the information independently and not rely solely on model outputs. The Platform assumes no responsibility for decisions made solely in reliance on model outputs.

6.2 Prohibited Conduct

To maintain order on the Platform, you must not engage in the following conduct:

(1) Resource abuse: using scripts or tools to make high‑frequency, meaningless API calls, maliciously consuming Tokens or compute resources, or attempting to bypass the billing system.

(2) Attacks and damage: launching attacks against Platform servers, networks, or databases, including but not limited to DDoS attacks, SQL injection, brute‑force cracking; using Platform services to attack others.

(3) Cracking and theft: attempting to decompile Platform software, extract model parameters, or crack encryption mechanisms; downloading or copying others’ data or models without authorization.

(4) Commercial violations: renting, lending, or selling your Platform account or API Key to others; providing services to others for a fee under the Platform’s name; using free services for commercial profit.

(5) Disruption of operations: posting false feedback, malicious ratings, or spreading false information to damage the Platform’s reputation; exploiting Platform vulnerabilities for improper gain without promptly reporting them.

If you discover a vulnerability in the Platform, you are welcome to report it responsibly through official channels; the Platform may provide a reward or acknowledgment depending on the situation.

6.3 Consequences of Violation

If you violate the usage guidelines, the Platform has the right to take appropriate measures based on the severity of the violation:

(1) Warning and restriction: sending a warning notice, restricting API call frequency, model selection scope, or concurrency limits;

(2) Token deduction: deducting an amount equal to one to ten times the Tokens consumed in the violation as liquidated damages;

(3) Content deletion: deleting or blocking violative generated content and disconnecting relevant links;

(4) Account suspension: short‑term suspension (1–30 days), long‑term suspension (30 days to 1 year), or permanent suspension;

(5) Service termination: ceasing to provide all or part of the services to you;

(6) Legal action: for serious violations, the Platform will preserve evidence and report it to competent authorities such as public security and cyberspace administrations, while retaining the right to pursue your liability through legal channels.

After taking measures, the Platform will notify you of the outcome. If you disagree, you may appeal through customer service channels; the Platform will review and respond within fifteen working days.

VII. Intellectual Property

7.1 Platform Rights

The intellectual property rights in the Platform’s software systems, AI models, trademarks, logos, technical documentation, interface designs, and officially published content belong to the Platform and are protected by law. Without the Platform’s written permission, no one may copy, distribute, modify, commercially use, or decompile Platform content, remove copyright notices on the Platform, or imply a cooperative relationship between the Platform and your products.

7.2 License from You

You grant the Platform a non‑exclusive license to use your data for legitimate purposes such as service operation, model improvement, security detection, and product optimization. The Platform undertakes to protect your data security and will not disclose information that can identify you to third parties except as required by laws and regulations or with your consent.

VIII. Limitation of Liability

8.1 Service Statement

Platform services are provided on an “as‑is” basis with existing technology and conditions. The Platform makes every effort to ensure service quality but does not guarantee that services will be uninterrupted, error‑free, or meet all your requirements. The Platform shall not be liable for service issues arising from: your own operational errors, configuration mistakes, or password leakage; problems with your network, device, or browser; failures of telecommunications operators or third‑party cloud service providers; system maintenance or upgrades performed by the Platform; force majeure events such as earthquakes, floods, wars, government actions, large‑scale cyberattacks; or issues caused by viruses or format errors in your uploaded data.

AI‑generated content provided by the Platform is for reference only; the Platform does not guarantee its absolute accuracy, completeness, or suitability for specific professional purposes. You are responsible for judging the correctness and applicability of the content.

IX. Termination of the Agreement

9.1 Grounds for Termination

This Agreement terminates under the following circumstances:

(1) You voluntarily delete your account, and after the Platform confirms that there are no outstanding fees or disputes, deletion is completed within fifteen working days;

(2) You materially breach this Agreement, e.g., through unlawful use, attacking the Platform, or infringing intellectual property rights, and the Platform has the right to immediately terminate services and suspend your account;

(3) The Platform decides to terminate services due to business adjustments, regulatory requirements, etc., and will provide at least fifteen days’ prior notice by announcement;

(4) Changes in laws or regulations make it impossible for the Platform to continue providing services.

9.2 Arrangements after Termination

After termination of this Agreement, the Platform has no obligation to continue retaining your data. You must back up and migrate your data before termination. Fees incurred and liability for breach of contract before termination are not extinguished by termination. The provisions of this Agreement concerning intellectual property, limitation of liability, and dispute resolution shall survive termination.

X. Miscellaneous

10.1 Governing Law and Dispute Resolution

Disputes arising from this Agreement shall be resolved through friendly negotiations between the parties; if negotiation fails, either party may bring a lawsuit to the competent people’s court of the place where the Platform operator is located.

10.3 Miscellaneous

This Agreement constitutes the complete agreement between the parties regarding the Platform services. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect. You may not assign your rights or delegate your obligations under this Agreement to any third party without the Platform’s consent. The Platform may assign its rights and obligations under this Agreement to an affiliate or a merged entity and will notify you. The Platform’s failure to exercise any right shall not be deemed a waiver of such right.
